Terms & Conditions – VeloPack (Pty) Ltd

1) Who we serve

We supply hospitality businesses—restaurants, cafés, caterers, hotels, guesthouses, and events—across Johannesburg and the broader Gauteng region, and we ship across South Africa.

2) Quotes, pricing & availability
 

• Quotes: Valid for 7 (seven) days from issue unless stated otherwise.

• Pricing: VAT exclusive unless indicated. We may adjust prices due to exchange rates, supplier increases, or obvious errors.

• Availability: Stock is subject to prior sale. If an item is unavailable, we’ll suggest alternatives or advise lead times.

• No minimum order options: Available on selected lines—ask us which products qualify for no minimum order packaging.

• Custom work: For custom packaging solutions (printing, sizes, materials), we’ll provide a written scope, proof approval, and lead time.
   

3) Orders & acceptance

Your order is accepted when we confirm in writing (email/WhatsApp) or when we start preparing it—whichever happens first. We may decline orders that are not feasible, non-compliant, or unpaid.

4) Payment terms
 

• Upfront/EFT: Unless you hold approved credit terms, orders must be paid before dispatch.

• On-account customers: As per approved terms.

• Late payment: We may charge interest on overdue amounts (up to the lower of 2% per month or the maximum permitted by law) and suspend further deliveries.
   

5) Delivery, risk & title
 

• Delivery areas: Gauteng deliveries via our fleet or courier; national deliveries via trusted couriers.

• Lead times: We’ll give practical timeframes and keep you updated.

• Risk & title: Risk passes on delivery/collection; ownership passes only after full payment is received.

• Delivery issues: Please report shortages or damage within 48 hours of delivery with photos/notes so we can resolve them quickly.
   

6) Returns, exchanges & cancellations
 

• Standard items: Unused, resalable items in original packaging may be returned within 7 days of delivery with prior authorisation. A reasonable handling/restocking fee may apply.

• Custom items: Non-returnable and non-refundable once proofs are approved or production has started (defects excepted).

• Defects: Tell us within 7 days; we’ll repair, replace, or credit at our option after inspection.

• Cancellations: Allowed before dispatch. Custom jobs may incur costs for work already completed.
   

7) Product guidance & suitability

We provide pragmatic product guidance for affordable packaging solutions. You’re responsible for confirming suitability for your specific use (temperature, food contact, transport, branding). Certificates, samples, and technical data sheets are available on request where applicable.

8) Sustainability notes 

We offer eco-conscious alternatives (e.g., recycled, recyclable, or compostable options) where practical. Actual recyclability/compostability depends on local facilities and correct disposal. Ask us for the best option for your site—Johannesburg or elsewhere in South Africa.

9) Warranties & liability 
 

• We warrant that products will substantially match the agreed specification on delivery.

• To the fullest extent permitted by South African law, our liability for any claim is limited to the price paid for the affected products/services.

• We’re not liable for indirect, consequential, or special losses (e.g., lost profits or business interruption). This clause doesn’t limit liability where the law forbids it.
   

10) Intellectual property

All trademarks, graphics, copy, and artworks on our site or materials remain our (or our licensors’) IP. Customer artwork used for custom packaging solutions remains the customer’s property; you grant us a limited licence to use it for production and portfolio samples (unless you tell us not to).

11) Website use

Use our website lawfully and respectfully. Don’t copy content, scrape pricing, or interfere with site operation. We may update the site or suspend access for maintenance without notice.

12) Privacy & POPIA

We process personal information in line with South Africa’s Protection of Personal Information Act (POPIA). See our Privacy Policy for details on collection, use, marketing choices, cookies, and your rights. Requests can be sent to our Information Officer.

13) Force majeure

We’re not responsible for delays or non-performance caused by events beyond our reasonable control (e.g., load shedding impacts on production, strikes, pandemics, extreme weather, or courier disruptions). We’ll communicate promptly and work on practical alternatives.

14) Compliance & anti-abuse

You confirm your orders won’t be used for unlawful purposes. We may refuse orders that breach applicable laws, IP rights, or reasonable brand/safety standards.

15) Governing law & disputes

These Terms are governed by the laws of the Republic of South Africa. Disputes will first be escalated to management for resolution in good faith. If unresolved, the parties may refer the matter to a mutually agreed mediator or to the competent South African courts in Johannesburg, Gauteng.

16) Changes to these Terms

We may update these Terms to reflect changes in law, pricing, or operations. The version published on our website at the time of order applies to that order.
